Michigan business law is governed by the Michigan Business Corporation Act, the Limited Liability Company Act, and the Uniform Partnership Act. LLCs are the dominant entity. Michigan has adopted the Uniform Commercial Code. Noncompete enforceability narrowed with 2024 legislative activity but remains permitted where reasonable in scope, duration, and geography. Michigan has filed-corporate records through LARA's Corporations Division.

Michigan Business Corporation ActMCL § 450.1101 et seq.

Governs formation, governance, mergers, dissolutions, and shareholder rights of Michigan for-profit corporations.

Michigan Limited Liability Company ActMCL § 450.4101 et seq.

Governs formation, operating agreements, management, and dissolution of LLCs. Operating agreements control member relations and may modify default rules.

Noncompete EnforceabilityMCL § 445.774a

Agreements not to compete are enforceable if reasonable in duration, geographic scope, and line of business. Courts may blue-pencil overbroad terms. FTC's federal noncompete ban has been subject to litigation; Michigan courts continue to apply state law.

Michigan Uniform Trade Secrets ActMCL § 445.1901 et seq.

Provides civil remedies for misappropriation of trade secrets, including injunctive relief, actual damages, unjust enrichment, and exemplary damages for willful misappropriation.

Uniform Commercial CodeMCL § 440.1101 et seq.

Michigan's adoption of the UCC governs sales of goods, leases, negotiable instruments, secured transactions, and related commercial matters.
